SCOPE'S USER AGREEMENT

Scope Technologies, Inc is a Colorado corporation ("Scope") doing business as RoofScope.com, PaintScope.com, GutterScope.com, SidingScope.com, InsulationScope.com, and ConcreteScope.com. In this agreement, Scope may be referred to as "we" or "us" or "it" and may be referenced with appropriate possessive pronouns. A user of our website may be referred to as "you" and may be referenced with appropriate possessive pronouns.

When you use a website operated by Scope, irrespective of the means by which you access it, you confirm, and agree to, all of the following statements, terms and conditions (collectively, "provisions"). If you do not agree with the provisions of this agreement or if you are unsatisfied with the performance of our website, products or services, your sole and exclusive remedy is to discontinue use.

Sharing Information

We regard your personal information as confidential. Scope will not sell, rent, share or disclose your personal information to any third persons. However, we may collect and compile general information, including personal information, from users of Scope's websites. We may convert your personal information into impersonal data (and combine such data with information collected from other persons) for analysis to improve our marketing, personnel, and financial management. Such data compilations are the sole property of Scope.

We may compile and use IP addresses to analyze usage patterns and trends, manage and promote our websites, track users' usage, and troubleshoot problems. Our systems autonomously and automatically log browser type, email access and open time, and URL requests and referrals. We do not link IP addresses to your personal information, and we do not disseminate any of this data to any third person. We may use cookies to facilitate and enhance your experience when using our website as well as to retrieve data from your usage.

When you register with Scope (and order products or services), we collect personal information, such as name, contact, billing, and credit card information. Your information is kept confidential; we use it to deliver your order, process payment, and communicate with you about the status of your order. Credit card information submitted with your order is used only for payment processing and is not retained on our website.

We may be required to provide your personal information in response to court orders, subpoena, or government investigations. We will report to law enforcement any activity that we believe is unlawful.

Security

We utilize certain systems and programs to optimize data security, both in its transmission and its storage. We only access your personal information to process your orders for product and service, to properly manage your account, and to provide you with pertinent information about Scope.

You are solely responsible for access to your account. We strongly recommend that you securely maintain both your access name and password; we also recommend that you change your password both periodically and as your circumstances change.

If you add users to your account, you are responsible for managing, controlling and limiting their access to and use of your account. You must remove users when you no longer want them to have access.

Ordering Products

When ordering a Scope product, enter the property address or use geo-locate services to identify the property. Next, pinpoint the structure that you want to be measured and confirm your pinpoint. We will always draft the pinpointed structure(s) even if you geo-locate or enter a different address; however, our product will be labeled with the address that you entered or geo-located. Scope is not responsible if you improperly pinpoint, geo-locate, or input an address of the property to be drafted.

You may schedule the delivery of your order. Occasionally, there are delays in production; such delays are generally due to factors beyond our control such as extraordinary demand due to weather, internet malfunctions, or other phenomena. We normally notify our customers if we cannot meet their delivery schedule. You may cancel your order during the 24-hour period following our notification of a delayed delivery; however, you may not under any circumstance cancel after you receive your order.

If you place your order in a batch, or use our over-the-phone or SMS services, Scope may delay your order to verify the location. You must timely respond to our location confirmation request to receive your order.

You are solely responsible for determining the fitness for a particular purpose of any product or service available through this website. We offer no expressed or implied warranties. You assume all risks incident to, and as a consequence of, any download of software, text or program from our website.

Regular and Custom Pricing

Scope offers "Scope Easy Pay." When you set up your account, check the "Scope Easy Pay" box. When we deliver a product to you, we will charge your account automatically. Base prices (that are published for all of our customers) for our products may change at any time before we actually produce your order.

The cost of a product is based upon its complexity. When you place an order, you must estimate the level of complexity required for your order based upon your perception; from that you will deduce cost estimates of the product and delivery. If your order is more complex than your estimate or the property is zoned for other than single family use - commercial, industrial or multi-family -- then your cost will exceed your estimates. We will NOT notify you if the actual costs exceed your estimates. You agree that we are not bound in any way by your estimate, and you further agree that you will pay our final charge, which may substantially exceed your estimate.

Scope offers custom pricing plans to promote regular and frequent usage. We will discount your product cost if you order and prepay in certain agreed-upon amounts. However, if you fail to timely order the quantity, or expend the amount, agreed upon, Scope will back-charge you to its regular pricing schedule. Contact your account executive to learn more about our quantity discount pricing.

Payments

You may open (and maintain) an account with Scope using check or credit/debit card; we accept most major cards. In order to receive your order, there must be sufficient balance in your account to pay for it. If, however, for any reason, your account balance reflects an amount due to Scope (e.g., because we have delivered an order without available, sufficient funds or have mistakenly charged your account for less than the amount due), you must immediately pay the balance then due. If you fail to so pay within 3 days of our notice to you, you will incur late charges at the rate of 2% per month on such balance, and you agree that you will be responsible and liable for any and all costs we incur to collect such balance due, including but not limited to attorney's fees.

Cancellations

In order to cancel an order, you must email your cancelation request along with the order-property's address to info@myscopetech.com at least 3 hours before the scheduled delivery time. If your order is being processed at the time we receive your cancelation email, your cancelation will not be effective, and you will be charged for the order.

If we discover that you have ordered two identical products for the same property within a 24 hour period, Scope will cancel the second order automatically.

Scope may cancel any agreement with any customer for any reason; if canceled, we will refund the remaining balance of your account.

Guaranteed Accuracy

Scope guarantees that its numerically relevant data compilations (not individual line or angular dimensions) are 95% accurate. For example, if we measure a roof gable at 10 feet on one side and 14 feet on the other, and the field measurer determines that both are 12 feet, the rake edge sum result is identical, and the report would be accurate (140 square feet versus 144 yields 97% accuracy). If you receive a report that is less than 95% accurate, you may submit photographic evidence and actual field measurements and receive a revised report, or you may request a credit to your account and keep the report without revision.

Sometimes the imagery is not suitable for us to produce a report that is 95% accurate. When this occurs, we will notify you. If you decide to accept the report as-is, with likely inaccuracies, Scope will post an inaccuracy warning on the report, stating: "DUE TO LACK OF IMAGERY, SCOPE TECHNOLOGIES DOES NOT GUARANTEE 95% ACCURACY OF THIS REPORT."

You agree that you will not publicly disclose the accuracy of any product that you receive from Scope. If you purchase a Scope product that is proven to be less accurate than Scope's accuracy claim (and we cannot rectify the accuracy), we will credit your account with your purchase price for that product. You must request a credit within 24 hours of product delivery. Scope does not otherwise, in any manner whatsoever, guaranty the accuracy or content of its reports; nor do we expressly or impliedly warrant that any product or service is suitable for a particular purpose.

ProScope Inspection Application

In order to produce a ProScope product, we may require certain measurements. ProScope is merely a tool for analyzing data; data collection is solely your responsibility. You assume all risks associated with acquiring any measurements; we recommend that you obey all safety laws, rules and regulations; that you contact the owner of the property to get her consent before accessing the premises; and that you properly secure the owner's data after acquisition.

Scope may use some or all of the property data submitted for a ProScope product. For example, data may be used to improve the accuracy of complementary Scope products, including but not limited to the following Reports: RoofScope®, PaintScope®, SidingScope®, GutterScope®, ConcreteScope® or InsulationScope®. Scope will securely retain the data that you submit for 12 months, after which time it may be archived or destroyed. If we archive the data, we will charge a retrieval fee if you want access.

Referral Agreement

Scope offers referral rewards to both you and the customer that you refer to us. The new customer must not be affiliated with your business; your referral must not already be a Scope customer; and you must personally know your referral. Scope may reverse a referral reward if it discovers that your referral is not new to Scope or is affiliated with you or your business or has been identified by you with unsolicited emails or other informational broadcast.

Changing Terms & Conditions

Scope may modify the provisions of this agreement at any time for any reason, and you agree to be bound by them upon the date of their posting on the website. We may make these modifications without prior or contemporaneous notice to you; it is your responsibility to review and verify your understanding of this agreement each time you use our website. Nevertheless, Scope may notify you of any such changes, and you may be asked to indicate that you have read and understand our terms and conditions from time to time when you place an order.

Third Party Links to Scope Websites

Scope's website may contain links to other websites. These linked sites are not under our control, and we are not responsible for their content. We are not publishing their content. We do not review their usage policies or terms or conditions, including but not limited to their privacy policy; nor do we monitor their content or offers. We do not share or endorse any opinions expressed on such websites. You accept all risks when you access such websites or provide personal information to such websites. Consequently, we encourage and advise you to read their security policy and usage agreement carefully.

No Unlawful or Prohibited Use

You agree that you will not use any Scope website for any purpose that is unlawful or prohibited by the provisions of this user agreement. You agree not to use Scope's website in any manner that could damage, disable, overburden, or impair our website or interfere with any other person's use thereof.

Any attempt to reverse engineer any process used on Scope's websites is prohibited.

You agree that you will not create any link to any page of our website without our express consent.

Liability Disclaimer

The information, software, products, services and programs included in or available through Scope's website may include inaccuracies or errors. You accept the information on this website "as-is" and acknowledge the likelihood of inaccuracy and error. We specifically exclude, and do not provide, any expressed or implied warranties whatsoever regarding the accuracy or usefulness of any statement or process contained in or accessed by this website. We disclaim any liability for damages, direct or indirect, consequential or incidental, foreseeable or unforeseeable, arising out of or in connection with our negligence or your use of this website, including but not limited to: loss of business, loss of revenue or profit, damage to your computer or software or data, and any other damage or loss.

Termination or Limited Access

Scope may for any reason without notice terminate or restrict your access to its websites, IP addresses, or domains.

Indemnification

You agree to defend, indemnify and hold harmless Scope (and any of its parents, subsidiaries, affiliates, employees, agents, third party content providers, or licensors, and their respective directors, officers, employees, and agents) from and against all claims, liability, and expenses, including attorneys' fees and legal fees and costs, arising out of your use of our website or your breach of any provision of this agreement. Scope reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any matter that may be subject to indemnification by you. You will cooperate as fully as reasonably required in the defense of any claim.

Copyright and Trademark Notices

The content on our website is owned, patented, copyrighted and trademarked by Scope Technologies, Inc, or its use is otherwise permitted or authorized by its owner.

Governing Law

The laws of the United States of America and the State of Colorado govern the provisions of this user agreement without giving effect to conflict of laws principles. When you use this website or purchase a Scope product or service, you attest that you have read and understand and consent to the provisions contained herein. You further agree to submit all claims and disputes involving or against Scope to the exclusive jurisdiction, venue and forum of the courts of the State of Colorado in the City and County of Denver or the United States District Court for the State of Colorado, as the case may be.

If any of the provisions (i.e., statements, terms and conditions) herein shall be deemed invalid or unenforceable for any reason, then such invalid or unenforceable provision shall be amended to achieve as much of its original intent as possible or if not so amendable, then severed, and the remaining provisions of this agreement shall continue to apply.

A waiver by Scope of, or failure of Scope to enforce, any provision of this agreement, including but not limited to its right to terminate, shall not infer a prior or future waiver of such provision and shall not prevent Scope's right thereafter to enforce such provision or any other provision of this agreement.

This agreement will be binding upon and inure to the benefit of Scope, its successors, trustees, and permitted assigns. Scope may assign this agreement or any of its rights or obligations under this agreement with or without notice to you.

The headings in this agreement do not confer or infer any particular meaning of the content. Unless the context clearly and obviously requires otherwise, indication of gender is incidental and therefore means both genders or no gender, and similarly plural means singular and vice versa.
